The terms for using our website, tools and portal.

1. Who these terms are with

These Terms of Use are an agreement between you and Legatis Executive Partners Inc. (“Legatis”, “we”, “us”), a British Columbia corporation. They apply to:

• our website, www.lepstrategy.com;
• the calculators, diagnostic and other free tools;
• the free Business Account;
• the Client Portal at portal.lepstrategy.com (together, the “Services”).

By using the Services, or by ticking a box that refers to these terms, you agree to them. If you use the Services for a business, you confirm that you are authorized to accept these terms for it, and “you” includes that business.

Our Privacy Policy explains how we handle personal information and forms part of these terms.

2. These terms do not make you a client

Using the website or a free tool, creating a Business Account, or talking with us does not create an advisory, fiduciary or client relationship. We act for a client only under a written engagement agreement and Fee Letter signed by both parties.

If you are a client, or a lender or partner working with us, your signed agreement governs that work. Where it conflicts with these terms, the signed agreement prevails.

3. General information and estimates, not advice

Everything on the website and in the free tools is general information. This includes our guides, directories, calculators, valuation and financing estimates, diagnostic grades, templates and generated reports.

• Estimates are only as good as the inputs. Calculators and reports apply standard formulas and industry assumptions to the figures you enter. They are not a valuation, an appraisal, a credit decision, an offer of financing or a forecast of any result. A formal business valuation can be prepared only by a qualified valuator.
• Not professional advice. Nothing in the Services is legal, tax, accounting, investment, securities or valuation advice, or an offer or solicitation of any security. Get independent professional advice before you act.
• Directories are a starting point. Our lenders and business directories are compiled from public sources and may be incomplete or out of date. A listing is not an endorsement, and we have no referral arrangement with the institutions listed unless we tell you so in writing. Every lender makes its own decisions.
• What Legatis is and is not. Legatis is not a lender, and it is not a registered securities dealer, real estate brokerage, mortgage broker, law firm or accounting firm. Our Legal & Compliance page explains who does what.

4. Your account

• You must be at least 19 years old and use the Services for business purposes.
• Give us accurate information and keep it up to date.
• Keep your password and sign-in links private. You are responsible for what happens under your account.
• Tell us promptly at admin@lepstrategy.com if you think someone else has used it.

We may suspend or close an account that is misused, that puts the Services or other users at risk, or that breaches these terms.

5. What you put in

You keep ownership of the information and documents you enter or upload (“your content”). You give us permission to host, store, copy, process and display your content in order to:

• provide the Services to you and to the people you authorize;
• suggest how Legatis could help, where you have agreed to that;
• keep the Services secure and meet our legal obligations.

We may also use your content in de-identified, aggregated form to improve our tools. Such statistics never identify you or your business.

You are responsible for your content. You confirm that:

• you have the right to provide it;
• where it includes information about other people, you have their permission or other lawful authority;
• it contains no malicious code.

Accuracy in financing materials. Loan application packs, business plans, net worth statements and similar materials are your statements. When you give them to a lender, investor or anyone else, you are responsible for their accuracy and completeness, whether or not our tools helped you prepare them.

6. Using the Client Portal

The Client Portal holds confidential client documents. Access is personal and is granted by Legatis for a specific engagement. Clients decide which of their own people and advisors are invited.

Lenders, partners and other third parties see only the documents Legatis provides them with the client’s consent. They may use those documents only for the purpose for which they were shared and must keep them confidential. They must not copy, forward or keep them except as that purpose requires, and must meet any confidentiality agreement they have signed with Legatis.

All activity in the portal is recorded.

7. What you must not do

• Use the Services for anything unlawful, fraudulent or misleading, or to send spam.
• Copy, scrape, harvest or bulk-download content, including our directories and lender information, or access the Services with automated tools, except ordinary search engine indexing.
• Try to get into accounts, documents or systems you are not authorized to use, or probe, scan or test the security of the Services.
• Interfere with the Services, or reverse engineer or copy the tools.
• Impersonate anyone, or misrepresent your connection with Legatis.
• Republish, resell or offer our content, templates or tools as part of another product or service.

8. Our content

We or our licensors own the Services and everything in them, including text, research summaries, directories, templates, calculators, the diagnostic, the maturity model, our methodologies, and the Legatis name and marks.

We grant you a personal, non-exclusive, revocable licence to use them for your own business. You may freely use, print and share the reports and documents you create with the tools, including with your lenders, investors and advisors. You may not otherwise copy, adapt or redistribute our content without our written permission.

If you send us suggestions, we may use them without obligation to you.

9. Other websites and services

The Services link to government programs, lenders and other third-party websites. We do not control them and are not responsible for their content, their services or how they handle your information.

10. Changes and availability

The free tools are provided at no charge. We may change, suspend or withdraw any part of them at any time. We aim to keep the Services available and your saved work safe, but we do not guarantee either. Keep your own copies of anything important; most tools let you download a PDF.

Inactive Business Accounts may be closed as described in our Privacy Policy.

11. Disclaimer

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we make no warranties or conditions of any kind, express or implied, including as to accuracy, completeness, fitness for a particular purpose or uninterrupted availability.

12. Limits on our liability

To the fullest extent permitted by law:

• Legatis is not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, financing, business opportunity, goodwill or data, arising from your use of the Services or your reliance on them.
• Our total liability for all claims relating to the Services is limited to one hundred Canadian dollars (CAD $100).

This section does not apply to paid services under a signed engagement agreement, whose own terms govern. Nothing in these terms limits liability that cannot be limited by law.

13. Your responsibility to us

You agree to indemnify Legatis and its directors, officers and personnel against claims, losses and costs, including reasonable legal fees, that arise from any of the following:

• your breach of these terms;
• your content;
• your misuse of the Services;
• information you provide to a lender, investor or other third party.

14. Ending your use

You may stop using the Services and ask us to close your account at any time. Sections 3, 5 (your responsibility for your content), 8, 11, 12, 13 and 16 continue after your use ends.

15. Electronic communications

You agree that we may communicate with you, and that you may accept these terms, electronically. We send guides and updates only if you have opted in; see our Privacy Policy.

16. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. You and Legatis agree to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver.

17. General

If any part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours to a successor to our business.

We may update these terms by posting a new version here with a new date. Changes apply from then on, and we will email account holders about significant changes. These terms, the Privacy Policy and any signed agreement with us are the whole agreement about the Services.
